B. If LAFCO or any other agency having jurisdiction <br />seeks to irlpose any condition to its approval of the City's <br />annexation application, which condition(s) materially affects the <br />Property in a manner requiring substantial modifications to the <br />Project defined herein and unacceptable to Developer in <br />Developer's sole discretion, Developer may request City to <br />withdraw its application and terminate annexation proceedings as <br />to the Property; provided, however, that the City, in its sole <br />discretion, shall determine whether to withdraw its application. <br />In the event City elects to withdraw its application and <br />terminate annexation proceedings as to the Property, the <br />Developer's obligation to pay annexation fees as required herein <br />shall terminate. <br />2. Development Conditions. <br />A. Developer shall be entitled to develop the Property <br />in accordance with the terms of the Rezoning, subject to the <br />Zoning Conditions and Site Plan approved by the County, attached <br />hereto as EXHIBIT "C", and subject to the terms of other County <br />development approvals and development agreements issued or <br />enacted by County pursuant to County jurisdiction. <br />B. As required pursuant to the Zoning Conditions, <br />Developer shall pay fees to the land trust required to be formed <br />pursuant to the South Livermore Plan Concept and shall otherwise <br />develop the Property in a manner consistent with the South <br />Livermore Plan Concept. <br />[Draft 8/1/91] 5 <br />
