42562.1 <br />TRANSIT-ORIENTED DEVELOPMENT PLANNING <br />MEMORANDUM OF UNDERSTANDING <br />This Memorandum of Understanding (“MOU”) is entered into this 15th day of July 2025, by and <br />between the City of Pleasanton (“City”) and the San Francisco Bay Area Rapid Transit District <br />(“BART” or the “District”) (together, the “Parties”) to cooperatively plan for potential <br />development at and around the Pleasanton side of the Dublin/Pleasanton BART Station <br />(“Station”). <br />RECITALS <br />A.BART and the City acknowledge that the San Francisco Bay Area region faces a shortage of <br />homes and a climate crisis that requires a significant reduction in vehicle miles traveled, both <br />of which are challenges that may be alleviated by transit-oriented development (“TOD”). <br />B.The BART-owned parking lots at and around the Pleasanton side of the Dublin/Pleasanton <br />Station (the “Site”), attached hereto as Exhibit 1, offer a unique opportunity for TOD because <br />of their desirable location and adjacency to the Station, the Hacienda Business Park, Iron <br />Horse Trail (IHT), and Interstate 580. <br />C.In 2011, the City drafted land use concepts, development standards and guidelines for the site, <br />but since that time, market conditions, state law (including the passage by the State Legislature <br />of AB 2923), and site conditions have significantly changed, leading to a need to update and <br />re-examine the prior work. <br />D.In 2016, the BART Board adopted three policies which set overall goals for BART's TOD <br />program: <br />1.A TOD Policy, attached hereto (as amended in 2020) as Exhibit 2,, which, sets the goals <br />of creating complete communities, advancing sustainable communities, increasing <br />ridership, capturing the value of transit, enhancing transportation choice, and increasing <br />affordability with target of 35% of all units to be as affordable with a priority of for low- <br />and very-low-income households, <br />2.An Affordable Housing Policy, attached hereto as Exhibit 3, which requires a 20% <br />affordable housing minimum for each project, and favors those with the greatest depth and <br />quantity of affordable housing, and <br />3.A Station Access Policy, attached hereto as Exhibit 4, to guide access practices and <br />investments. This Policy aims to support the broader livability goals of the Bay Area, <br />reinforce sustainable communities, increase the share of BART passengers walking and <br />biking to the stations, and enable riders to get to and from stations safely, comfortably, <br />affordably, and cost-effectively. <br />E.In 2017, the Tri-Valley–San Joaquin Valley Regional Rail Authority was formed and began <br />planning passenger rail service, known as Valley Link, to potentially connect with the Station <br />Docusign Envelope ID: 094A4C1A-13D7-44EA-BE42-B0F1E0142890Docusign Envelope ID: 663B3163-E73A-4E80-A759-F92FA9FC8D9D
