occur on or before June 30, 2000 through no fault of San Francisco, then this Term Sheet <br />shall terminate and shall be of no further force and effect. <br /> <br />Approvals. On or before February 15, 2000: (1) Pleasanton will take final action on <br />certification of San Francisco's existing EIR and (2) the San Francisco Public Utilities <br />Commission will publicly consider entering into an exclusive right to negotiate. with <br />Pleasanton for the sale of the Bemal Property as set forth generally in the terms of this <br />Term Sheet and in accordance with appropriate environmental review. On or before <br />February 16, 2000: (1) Pleasanton will publicly consider endorsement of the terms of <br />this Term Sheet and commit to negotiate in good faith to prepare and sign a Pumhase and <br />Sale Agreement reflecting the terms of this Term Sheet and (2) the San Francisco Public <br />Utilities Commission, following appropriate environmental review, will publicly consider <br />endorsement of the terms of this Term Sheet and commit to negotiate in good faith to <br />prepare and sign a Purchase and Sale Agreement reflecting the terms of this Term Sheet, <br />subject to the approval of the San Francisco Board of Supervisors and Mayor, each in its <br />or his sole and absolute discretion, following appropriate environmental review. <br /> <br />Time Is of the Essence.
