The Allocation Agreement provides that <br />Caroline or his assignee may assign its rights, obligations <br />and interest under the Allocation Agreement to a third party <br />upon that party's taking title to the Property and that the <br />third party assignee shall execute a release, indemnity and <br />hold harmless agreement in favor of the assignor; and <br /> <br /> F. Sente and Valley desire to sell certain lots <br />in Valley Business Park and in connection with said sales to <br />assign a portion of the Valley Business Park Sewer Alloca- <br />tion and certain of the rights, obligations, and interest <br />under the Allocation Agreement to the purchasers of the <br /> <br />lots, City desires to agree that such assignments <br /> <br /> and the <br />may be made. <br /> <br /> NOW <br /> <br />follows: <br /> <br /> 1. <br /> <br />THEREFORE, the parties hereto agree as <br /> <br /> Allocation of Capacity to Lots. Sente, or Valley, or <br />both, shall not assign to any or all lots in Valley Business <br />Park in the aggregate more than the Valley Business Park <br />Sewer Allocation.
