AGREEMENT FOR ENGINEERING SERVICES FOR PROPOSED <br />GRADE SEPARATIONS AND TRACK CONSOLIDATION <br />INVOLVING SOUTHERN PACIFIC TRANSPORTATION COMPANY <br /> AND THE WESTERN PACIFIC RAILROAD COMPANY TRACKS <br /> BETWEEN NILES AND PLEASANTON IN ALAMEDA COUNTY <br /> <br />PARTIES: <br /> <br /> THIS AGREEMENT is by and between: <br /> <br />a. The County of Alameda, a political subdivision of the <br />State of California, hereinafter referred to as COUNTY; <br />b. The City of Pleasanton, a municipal.corporation of the <br />State of California,-hereinafter referred to as CITY; <br /> <br /> The aforesaid parties hereinafter collectively called <br />AGENCIES; and <br />c. De Leuw, Cather & Company, an Illinois corporation, Con- <br />sulting Engineers, with a place of business at 120 Howard <br />Street, San Francisco, California 94105, hereinafter called <br />ENGINEER. <br /> <br />WITNESSETH: <br /> <br /> WHEREAS, it is necessary that certain preliminary and <br />certain final design engineering services be performed for <br />AGENCIES in connection with three proposed railroad grade <br />separations and for certain railroad track consolidations, <br />involving the Southern Pacific Transportation Company and <br /> <br />The Western Pacific Railroad Company (the two companies here- <br />inafter referred to individually as "Railroad" or collect- <br />ively as "Railroads"); and <br /> <br /> WHEREAS, said proposed grade separations and track con- <br />SOlidatiOnS, ~0gether With any affected highway and roadway <br />realignments, the elimination of 13 grade crossings, and <br />other related miscellaneous work, are hereinafter referred <br />to as the "Project" or "Projects"; and <br /> <br /> ~EREAS, this Agreement concerns the proposed operation <br />of Southern Pacific trains primarily upon the tracks of <br />Western Pacific, between Niles and Pleasanton, <br /> <br />-1- <br /> <br /> <br />
