4. Costs a. Project Costs Contractor will contribute twenty percent (20%) of the total project cost in cash and/or professional and technical services as the local share, provided that MTC contributes eighty percent (80%} in cash received from a Technical Studies Grant from the Urban Mass Transportatio~ Administration (UMTA). In the event MTC is unable to obtain said funding, it shall so advise Contractor in writing and this Agreement shall become null and void, Allowable Costs MTC shall reimburse Contractor for those services and expenses required to perform the work in accordance with the Project Budget in Appendix D. Out-of-state travel expense is not reimbursable under this Agreement. Reimbursement shall also be in accordance with cost principles set forth in OMB Circular A-87, dated January 15, 1981, c. Audit and Inspection of Records Contractor shall permit authorized representatives of MTC to inspect and audit all data and records relating to performance under this Agreement by Contractor, its agents, employees, subcontractors and others involved in the performance of services. Contractor shall be responsible for meeting audit requirements of OMB Circular A-102, Attachment P, or any revision or supplement thereto, Contractor is responsible for auditing third-party contracts and agreements~ MTC may also require Contractor to furnish at any tim~ prior to close out of the project audit reports made in accordance with Paragraph 5 of Attachment P to OMB Circular A-102~ Requisitions and Payments CoDtractor shall submit to MTC a requisition for reimbursement for services performed or expenses incurred in connection with this Agreement within 45 days ~f' the termination of this Agreement, and shall be submitted on forms specified by UMTA' and provided by ~ITC, and shall be signed by Contractor"s legally designated ~epresentati~e.
