8. Date of Completion: Time shall be of the essence of <br />this Agreement and each and every covenant and condition <br />hereof. CONSULTING ENGINEER shall be responsible at its own <br />expense for the selection and employment of such staff as will <br />enable CONSULTING ENGINEER to perform its services diligently <br />and skillfully in order to complete the project without delay. <br />Engineer will commence the above services immediately upon <br />execution of this Agreement and will endeavor to complete the <br />engineering work in accordance with the schedule established <br />in preliminary phase as approved by the Director of Public <br />Works of CITY, barring unforeseen delays beyond the CONSLILTING <br />ENGINEER'S (or his consultant's) control. Such unforeseen <br />delays include, but are not limited to, delays ordered by or <br />caused by any governmental agency (including CITY); delays <br />incurred in processing or receiving approval of any reports, <br />plans or specifications from any governmental agency; delays <br /> <br />in obtaining any necessary <br />corporations; delays caused <br />hearings; delays caused by <br /> <br />contracts from private parties or <br />by holding of legal public <br />any material suppliers or <br /> <br />manufacturers; or any strike, embargo, accident, or Act of <br />God. <br /> <br /> 9. Suspension Or Termination--And Payment of Fees <br /> Therefor: <br /> <br /> a. It is agreed that CITY may terminate this <br />Agreement in its sole discretion upon written notice to <br />CONSULTING ENGINEER; CONSULTING FNGINKER may terminate this <br /> <br /> <br />
