Agreement upon written notice to the CITY to terminate in the <br />event of substantial failure of performance by CITY; or if <br />CITY, by the adoption of a resolution of its City Council, <br />should deem it necessary or desirable to abandon or <br />indefinitely suspend the project, then the Agreement may be <br />terminated or indefinitely suspended in whole or in part as <br />the circumstances require. <br /> <br /> b. In the event the City Council terminates or <br />indefinitely suspends the performance of this contract in the <br />manner herein provided, the CONSULTING ENGINEER, upon receipt <br />of written notice, shall immediately stop work unless directed <br />by CITY to stop at some designated stage, and shall deliver to <br />CITY all data, specifications, and drawings developed by <br />CONSULTING ENGINEER as of said stage, and CITY shall have the <br />right to sole ownership of such drawings, data, and <br />specifications without additional compensation. <br /> <br /> c. Termination of work under the contract at any <br />time prior to full completion shall result in full payment by <br />CITY to Engineer for that portion of work to be performed <br />under Paragraphs l, 3 and 5 which have been completed as of <br />the date of termination within 30 days from receipt of invoice <br />for the above referenced work. Payment of the hereinbefore <br />referenced lump sum fee shall be based on the agreed amount of <br />work completed in each "Fee" category. <br /> <br /> <br />
