10. Scope of Agreement: This writing constitutes the <br />entire Agreement between the parties relative to the <br />engineering services, and no modification hereof shall be <br />effective unless and until such modification is evidenced by a <br />writing signed by both parties to this Agreement. <br /> <br /> 11. Non-Assignability: The Agreement shall be deemed <br />personal to CONSULTING ENGINEFR; and CONSULTING ENGINEER shall <br />not assign, sublet or transfer this contract or any interest <br />Or obligation therein withour the prior written consent of the <br />CITY, and then only upon such terms and conditions as CITY may <br />set forth in writing. <br /> <br /> 19. Waiver: In the event that either CITY or CONSULTING <br />ENGINEER shall at any time or times waive any breach of this <br />Agreement by the other, such waiver shall not constitute a <br />waiver of any other or succeeding breach of this Agreement, <br />whether of the same or any other covenant, condition or <br />obligation. <br /> <br /> 13. Insurance: <br /> <br /> a. CONSULTING ENGINEER shall obtain and keepin <br />force and effect during the term of this Agreement personal <br />injury, bodily injury, and property damage liability <br />insurance, including contractual liability, with a combined <br />single limit in the minimum amount of One Million Dollars <br />($1,000,000), which policy shall name the CITY, its officers, <br />employees, and agents, as additional insureds.
