shall not be cancelled except upon thirty (30) days' written <br />notice to the CITY. <br /> <br /> b. CONSULTING ENGINEER shall also obtain and keep in <br />force and effect during the term of this Agreement <br />professional liability insurance covering any loss arising out <br />of or related in any manner to the errors, omissions, or <br />negligent acts of CONSULTING ENGINEER, its employees, agents, <br />consultants and/or subcontractors, to CONSULTING ENGINEER in <br />the minimum amount of One Million Dollars ($1,000,000). <br /> <br /> c. Certificates of insurance, as required by <br />subparagraphs "a" and "b" hereinabove, shall also be filed <br />with CITY when the CONSULTING ENGINEER executes this <br />Agreement. <br /> <br /> 14. Indemnity: CONSULTING ENGINEER agrees to indemnify, <br />defend, and hold harmless CITY and its officers, agents, and <br />employees, from liabilities, claims, suits, losses and <br />expenses, including attorney's fees, caused by, arising out <br />of, or in connection with, either directly or indirectly, the <br />negligent acts, omissions or errors of CONSULTING ENGINEER or <br />his agents, officers or employees in the performance of the <br />professional services described herein irrespective of an CITY <br />approval of the same. <br /> <br /> 15.
