activities, Or proposed actions which might affect the <br />implementation of the NPID-contemplated transportation <br />facilities. <br /> <br /> d. Smith shall be available, at the request of the <br />City and upon reasonable notice, to attend meetings and give <br />oral and written status reports on the various NPID projects <br />to the City Council, City officials, participants in the <br />NPID, and other individuals, groups, or organizations. <br /> <br /> 2. Administrative Supervision. Smith shall receive <br />administrative supervision in undertaking the services described <br />herein from the City's Director of Public Works or his designee. <br /> <br /> 3. Delegation as City's Representative. The City hereby <br />designates Smith to act as its representative with the California <br />State Legislature and various state governmental committees, <br />commissions, and persons involved in governmental affairs <br />affecting the City's interests as described herein. <br /> <br /> 4. Professional Skill Required. Smith warrants that he has <br />the professional skills necessary, and agrees to use these <br />skills, to perform the services described in this Agreement, and <br />it is understood and agreed that the City is relying on these <br />skills of Smith to do and perform the services in a skillful and <br />professional manner. <br /> <br /> 5. Applicable Laws. Smith shall perform the services <br />described in this Agreement in full compliance with all <br />applicable laws, rules, and regulations and shall, in cooperation <br />with the City, file all reports required of it or him by <br />applicable law in a timely manner. Smith shall furnish all <br />necessary information and assist the City in filing all reports <br />required of it and him by applicable law in a timely manner. <br /> <br /> 6. Reports. <br />beginning October <br />each contemplated <br />improvement. <br /> <br />Smith shall submit quarterly progress reports, <br />1, 1984, to the City describing the status of <br />improvements and anticipated work plan for each <br /> <br /> 7. Term. The term of this Agreement shall be four (4) <br />years, beginning on July 1, 1984, and ending on June 30, 1988. <br />In the event one or more of the NPID-contemplated improvements <br />has not received "authorization to advertise" from the FHWA by <br />the termination date, the City and Smith agree to meet to <br />negotiate a successor agreement mutually agreeable to both <br />parties. <br /> <br /> 8. Compensation. For the services to be rendered pursuant <br />to this Agreement, the City shall pay Smith in accordance with <br />the following: <br /> <br /> a. The City shall pay Smith on a time and materials <br />basis in accordance with the rates shown in Exhibit A, said <br />rates subject to revision on the anniversary date of this <br />Agreement upon mutual agreement. <br /> <br />- 2 - <br /> <br /> <br />
