CONSULTANT AGREEMENT <br /> <br /> THIS AGREEMENT is entered into as of the llth day of <br />September, 1984, by and between D. J. SMITH ASSOCIATES, <br />INCORPORATED, a California corporation (hereinafter referred to <br />as "Smith") and the CITY OF PLEASANTON, a municipal corporation <br />(hereinafter referred to as "City"). <br /> <br /> WHEREAS, in conjunction with the development of north <br />Pleasanton, the City has contemplated forming the North <br />Pleasanton Improvement District (NPID) to construct, among other <br />improvements, various freeway interchanges and auxiliary lanes; <br />and <br /> <br /> WHEREAS, it is the intent of the City to construct the <br />contemplated improvements at the earliest possible time and at <br />the lowest cost to the City and the participants within the NPID; <br />and <br /> <br /> WHEREAS, Smith is qualified in providing professional <br />services in transportation consulting, legislative advocacy, and <br />governmental affairs in relation to the transportation facilities <br />contemplated for the NPID and is qualified to represent and <br />advocate the City's interests in bringing these improvements to <br />the point of construction; and <br /> <br /> WHEREAS, the City wishes to retain Smith in the above <br />capacity and Smith wishes to provide such services to the City; <br /> <br />NOW, THEREFORE, the parties hereto agree to the following: <br /> <br /> 1. Smith Services. Smith agrees to perform on behalf of <br />the City services in transportation consulting, legislative <br />advocacy, and governmental affairs in relation to the City's <br />interests in the state and federal highway transportation <br />facilities contemplated for inclusion in the NPID. Such services <br />and facilities are listed generally in Exhibit B, attached hereto <br />and incorporated herein by this reference. <br /> <br /> a. In performing such services, Smith shall work <br />toward insuring that all contemplated improvements are <br />approved for construction at the earliest possible time and <br />that the City's share of the cost of the improvements is the <br />least possible. <br /> <br /> b. Smith shall advise and assist the City in <br />connection with meetings and appearances by or on behalf of <br />the City with or before other local governments, state <br />legislative and governmental councils, boards, committees, <br />and commissions. <br /> <br /> c. Smith shall review and analyze state and federal <br />legislation and promptly advise the City of those issues, <br /> <br />- 1 - <br /> <br /> <br />
