Section B - Compensation and Pa~ent Method <br /> <br />The City shall reimburse the Engineer for services performed, as <br />described in Section A on a "time-and-materials" basis at the rates <br />described in attached Exhibit "A". <br /> <br />The total compensation and reimbursement paid hereunder for the <br />services described in Section A shall not exceed a maximum sum <br />of Seventy Thousand Dollars ($70~000.00), unless otherwise <br />agreed by the parties in writing. <br /> <br />Engineer shall submit invoices to the City on a monthly basis. <br />Invoices shall indicate the time actually spent on the project <br />by the Engineer's employees. The City shall render payment to <br />the Engineer within ten (10) days of receipt of each invoice. <br /> <br />Section C - Amendments to AGreement <br /> <br />From time to time, circumstances or Conditions may require changes <br /> <br />to this agreement affecting the work program, the project task budget, <br />or other terms or conditions. Such changes which are mutually agreed <br />upon between City and Engineer shall be incorporated in written <br />amendments to this agreement. <br /> <br />Section D - Termination <br /> <br />The City shall have the absolute right to amend or terminate this <br />agreement upon four (4) working days prior written notice, and <br />such action shall in no event be deemed a breach of contract. In <br />the event of any such termination, the Engineer will be paid for <br />all unpaid services and unpaid reimbursable costs. <br /> <br />Section E - Period of Service <br /> <br />For services provided in Section A of this agreement, the period <br />of performance will be concurrent with the construction of the two <br />underpass structures and roadway approaches. If construction of <br />the underpass structures is delayed or suspended for reasons beyond <br />the Engineer's control, the City shall~ in writing, authorize an <br />extension of time necessary to complete the services. <br /> <br />-2- <br /> <br /> <br />
