Section F - Insurance 1. Engineer shall obtain and keep in force and effect during the term of this agreement personal injury, bodily injury, and property damage liability insurance, includin~ contractual liabilitv, with a combined single limit in the minimum amount of One Million Dollars ($1,000,000.00), which policy shall name the City, its officers, employees, and agents, as additional insureds. Said policy shall also contain a provision indicating that said policy shall not be cancelled except upon thirty (30) days written notice to the City. 2. Engineer shall also obtain and keep in force and effect during the term of this agreement professional liability insurance covering any loss arisino out of or related in any manner to the errors, omissions, or neGliGent acts of EnGineer, its employees, agents, consultants and/or subcontractors, to Engineer in the minimum amount of One Million Dollars ($1,000,000.00). 3. Certificates of Insurance, as required by paraqraph F-1 and F-2 hereinabove, shall also be filed with City when the Engineer executes this agreement. Section G - Indemnification Engineer shall indemnify, defend, and hold harmless City, its Councilmembers, representatives, agents, or employees from and against all claims, injury, suits, demands, liability, losses, damages and expenses, whether direct or indirect (including any and all costs and expenses in connection therewith), incurred by reason of any negligent or willful act or failure to act of Engineer, its officers, employees or agents, or subcontractors or any of them in connection with this agreement. In addition to any other remedy authorized by law, so much of the money due Engineer under this agreement as shall reasonably be considered necessary by City may be retained until disposition has been made of any claim for damages. -3-
