Engineer shall submit invoices to the City on a monthly <br />basis. Invoices shall indicate the gross earnings for time <br />actually spent on the Project by the Engineer's employees. <br />The City shall render payment to the Engineer within ten <br />(10) days of receipt of each invoice. <br /> <br />Section C Amendments to Agreement <br /> <br />From time to time, Circumstances or conditions may require <br />changes to this agreement affecting the work program, the <br />project task budget, or other terms or conditions. Such <br />changes which are mutually agreed upon between City and <br />Engineer shall be incorporated in written amendments to this <br />agreement. <br /> <br />Section D Termination <br /> <br />The City shall have the absolute right to amend or terminate <br />this agreement upon four (4) working days prior written <br />notice, and such action shall in no event be deemed a breach <br />of contract. In the event of any such termination, the Engineer <br />will be paid for all unpaid services and unpaid reimbursable <br />costs. <br /> <br />Section E - Period of Service <br /> <br />For services provided in Section A, Article 1 of this agreement, <br />the period of performance will be concurrent with the construction <br />of the three underpass structures and roadway approaches. If <br />Construction of the underpass structures is delayed or suspended <br />for reasons beyond the Engineer's control, the City shall, in <br />writing, authorize an extension of time necessary to complete <br />the services. <br /> <br />3 <br /> <br /> <br />
