(c) City Conveyance to Tracor. Immediately upon <br />execution of this Agreement by all parties, the City shall <br />proceed with due diligence to (i) ~cquire that portion of <br />the Rancho Santa Rita Investors property shown as land to <br />be conveyed by the City of Pleasanton to MB Associates on <br />the Right-of-Way Map; and (ii) vacate as a public street <br />that portion of the existing Pimlico Drive shown on the <br />Right-of-Way Map to be conveyed by the City of Pleasanton <br />to MB Associates. Concurrently with the filing of record <br />of the Parcel Map, but subject to Section 4(e), the City <br />shall convey to Tracor by grant deed all of the real <br />property shown on the Right-of-Way Map for conveyance by <br />the City of Pleasanton to MB Associates. <br /> <br /> (d) Payment to Tracor. City shall pay to Tracor as <br />full compensation for the fee and easements taken, in <br />addition to conveyance of the real property to be conveyed <br />pursuant to Section 4(c) above, the cash sum of $95,600.00. <br /> <br /> (e) Failure of the City to Acquire the ProDerty of <br />Rancho Santa Rita Investors. In the event the City is <br />unable to acquire title to the Rancho Santa Rita Investors <br />property for conveyance to Tracor as provided in Section <br />4(c), Tracor shall accept conveyance of only that portion <br /> <br />-5- <br /> <br /> <br />
