REIMBURSEMENT AGREEMENT <br />THIS IS AN AGREEMENT between the City of Pleasanton a <br />municipal corporation of the State of California (hereinafter "the <br />City") and THE PRUDENTIAL INSURANCE COMPANY OF AMERICA <br />(hereinafter "the Owner"). <br />The Owner is the owner of the land generally described <br />as Hacienda Business Park - Phase II, in the City of Pleasanton <br />(hereinafter "Hacienda Business Park - Phase II") and more <br />particularly described in the Assessment Diagram for Assessment <br />District No. 1986-8, Hacienda Business Park - Phase II, which map <br />is on file in the office of the City Clerk of the City of <br />Pleasanton, California. The Owner has constructed certain <br />improvements designed for public use, as more fully described <br />hereafter. The parties intend that these improvements shall be <br />transferred to the City for public use and the City shall <br />reimburse Owner for construction costs of the improvements and the <br />construction costs are to be specially assessed against the land <br />within Hacienda Business Park - Phase II benefiting from the <br />improvements. The purpose of this agreement is to establish the <br />terms of the transfer and reimbursement of construction costs. <br />NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: <br />1. IMPROVEMENTS TO BE TRANSFERRED. The Owner agrees to <br />transfer and the City agrees to pay Owner its construction costs <br />(hereinafter "Construction Costs") as hereinafter set forth in the <br />ORIGINAL <br />
