Section C - Amendments to Agreement <br /> <br />From time to time, circumstances or conditions may require <br />changes to this agreement affecting the work program, the project <br />task budget, or other terms or conditions. Such changes which <br />are mutually agreed upon between City and Surveyor shall be <br />incorporated in written amendments to this agreement. <br /> <br />Section D - Termination <br /> <br />The City shall have the absolute right to amend or terminate this <br />agreement upon four (4) working days prior written notice, and <br />such action shall in no event be deemed a breach of contract. In <br />the event of any such termination, the Surveyor will be paid for <br />all unpaid services and unpaid reimburseable costs. <br /> <br />Section E - Period of Service <br /> <br />For services provided in Section A of this agreement, the period <br />of performance will be concurrent with the construction of the <br />Bernal Avenue, First Street Intersection. If construction is <br />delayed or suspended for reasons beyond the Surveyor's control, <br />the City shall, in writing, authorize an extension of time <br />necessary to complete the services. <br /> <br />Section F - Insurance <br /> <br />1. Surveyor shall obtain and keep in force and effect during the <br />term of this agreement personal injury, bodily injury, and <br />property damage liability insurance, including contractual <br />liability, with a combined single limit in the minimum amount of <br />One Million Dollars ($1,000,000.00), which policy shall name the <br />City, its officers, employees, and agents, as additional <br />insureds. Said policy shall also contain a provision indicating <br />that said policy shall not be cancelled except upon thirty (30) <br />days written notice to the City. <br /> <br />2. Certificates of Insurance, as required by paragraph F-1 <br />hereinabove, shall also be filed with City when the Engineer <br />executes this agreement. <br /> <br />Section G - Indemnification <br /> <br />Surveyor shall indemnify, defend, and hold harmless City, its <br />Councilmembers, representatives, agents, or employees from and <br />against all claims, injury, suits, demands, liability, losses, <br />damages and expenses, whether direct or indirect (including any <br />and all costs and expenses in connection therewith), incurred by <br />reason of any negligent or willful act or failure to act of <br />Surveyor, its officers, employees or agents, or subcontractors or <br />any of them in connection with this agreement.
