DES:djk 12/15/86 (#30) <br /> <br /> The proportionate shares of the annual Administrative <br />Overhead Costs shall remain the same as stated herein until the <br />proportionate shares are changed by the addition of a new party, <br />or by the agreement of all Parties, or a Project is constructed <br />and is placed into operation, at which time the next annual <br />General Budget will distribute Administrative Overhead Costs in <br />the same proportion as the Operation and Maintenance Costs. <br /> <br /> Operation and Maintenance Costs consists of all direct costs <br />associated with the operation of a Facility. Operation and <br />Maintenance Costs include all costs directly associated with the <br />operation, maintenance, improvement, repair and replacement of a <br />Facility or Facilities including, but not limited to, costs of <br />labor, materials, supplies, power, chemicals, utilities, <br />professional and other contractual services, research and <br />monitoring, tools and equipment, and other expenses necessary to <br />keep such Facility or Facilities in proper operating condition <br />and to maintain its or their useful life or lives, together with <br />Administrative Overhead Costs allocated thereto. Each Party <br />shall bear a prorated share of the annual Operation and <br />Maintenance Costs based upon each Party's participation in a <br />Project determined by each Party's total annual wastewater flow <br />in or through a transmission or disposal Facility or Facilities, <br />and determined by such flow and/or other parameters of pollution <br />including, but not limited to, biochemical oxygen demand and <br />total suspended solids for Facilities not related solely to <br />transmission or disposal.
