C. All preventive maintenance shall be covered by the monthly <br />charges contained in Annex I. Remedial maintenance, up to and <br />including twelve (12) site calls per year, shall also be covered by <br />the monthly charges contained in Annex I. All remedial maintenance <br />beyond twelve (12) site calls per year shall be billable at <br />Multisonics' prevailing rates, as shown in Annex II, attached hereto <br />and incorporated herein, and as it may be amended from time to time. <br />Any remedial site call which proves to be the result of a malfunction <br />of equipment not covered in this Agreement shall count as one of the <br />twelve (12) site calls per year, and if beyond the twelve (12) calls <br />per year, shall be billable at prevailing rates as described above. <br /> <br /> D. On the anniversary date of this execution of this Agreement, <br />the monthly maintenance rate shall be adjusted in accordance with the <br />Consumer Price Index, San Francisco, published by the U. S. <br />Department of Labor, based on the percentage change in the index from <br />the first month of this Agreement to each succeeding anniversary <br />date. Verified increases in the cost of insurance shall be permitted <br />which exceed twenty percent (20%) increase from previous year's rate. <br /> <br /> Labor and equipment charges for extraordinary repairs as stated <br /> in subparagraph (c) above shall be limited to a maximum increase of <br /> six percent (6%) annually. <br /> <br /> 6. TERM <br /> <br /> The term of this Agreement shall be for a period of five years <br /> <br /> from the date of execution of this Agreement. <br /> <br /> - 8 - <br /> <br /> <br />
