C. Multisonics may terminate this Agreement effective upon <br />written notice (i) in the event that the equipment is located in an <br />area which violates Multisonics' published space, electrical or <br />environmental requirements, is moved by other than Multisonics <br />approved personnel, is moved to a location unacceptable to <br />Multisonics, or is modified, damaged, altered or serviced without <br />Multisonics' authorization by other than employees of Multisonics; or <br />(ii) in the event that the City continues the use of any item, after <br />notice to City to discontinue such item, which causes machine damage, <br />requires excessive service or does not meet current minimum physical <br />property guidelines which Multisonics may publish for such items. <br /> <br />5. MAINTENANCE CHARGES <br /> <br /> A. Charges will be invoiced monthly, in advance, and are due <br />and payable within ten days of receipt of the invoice. Charges for a <br />partial month's service will be pro-rated on the basis of 1/30 of the <br />monthly rate per day for that portion of the month for which the <br />Agreement remained in effect. <br /> <br /> B. In the event this Agreement is terminated, or suspended, <br />charges shall be pro-rated on the basis of 1/30th of the monthly rate <br />per day for that portion of the month for which the Agreement <br />remained in effect. <br /> <br /> - 7 - <br /> <br /> <br />
