7. INDEPENDENT CONTRACTOR <br /> <br /> It is expressly understood and agreed that Multisonics is acting <br /> <br />as an independent contractor in the furnishing of the maintenance <br />services described herein and is not acting as an agent, servant, or <br />employee of the City. <br /> <br />8. INSURANCE <br /> <br /> Multisonics shall carry public liability and property damage <br /> <br />insurance for injuries, including accidental death, and property <br />damage in a combined single limit of $500,000.00. Multisonics shall <br />also take and maintain during the term of this Agreement Worker's <br />Compensation Insurance covering all of the employees who shall <br />undertake work pursuant to this Agreement. Multisonics shall furnish <br />to the City certificates issued by said insurance companies showing <br />that the abovementioned insurance has been issued and is in full <br />force an effect prior to the effective date of this Agreement; said <br />insurance certificates shall provide that the same is not cancellable <br />except upon at least ten (10) days written notice to the City. <br /> <br />9. GENERAL <br /> <br /> A. Multisonics' liabilities or obligations under or pursuant to <br /> <br />this Agreement are expressly limited to maintenance and repair of the <br />equipment and to injury to persons or damage to property of the City <br />or any third party due to the negligence of Multisonics. <br /> <br /> B. This Agreement shall be governed by and in accordance with <br />the laws of the State of California. <br /> <br /> - 9 - <br /> <br /> <br />
