MAINTENANCE SERVICE AGREEMENT <br /> <br /> THIS AGREEMENT is made and entered into this day of <br /> <br /> , 1987, by and between the CITY OF PLEASANTON, a municipal <br />corporation (the "City"), and WINKO-MATIC SIGNAL COMPANY/MULTISONICS <br /> <br />INCORPORATED, a corporation <br />("Multisonics"). <br /> <br /> WITNESSETH <br /> <br /> WHEREAS, the City has purchased a Multisonics VMS 220, together <br />with associated equipment, and wishes to have this equipment, and <br />such other associated equipment as it may acquire, maintained by <br />means of a service agreement; and <br /> <br /> WHEREAS, Multisonics is qualified to maintain and offers its <br />services to maintain its equipment; <br /> <br /> NOW, THEREFORE, in consideration of the mutual promises and <br />covenants included herein, the parties agree as follows: <br /> <br /> 1. RESPONSIBILITIES OF WINKO-MATIC/MULTSONICS <br /> <br /> A. Multisonics shall provide maintenance service as specified <br />herein for the equipment listed in Annex I, attached hereto and <br />incorporated herein with a follow-up report sent to the City after <br />each service call. Multisonics agrees to furnish all tools, <br />equipment, apparatus, facilities, labor, service and materials, and <br />perform all work necessary to maintain the equipment in good and <br />working order, except as specifically provided herein. <br /> <br /> - 1 - <br /> <br /> <br />
