C. All charges shown herein are exclusive of all customs, <br />import duties, federal, state or local taxes now in force or enacted <br />during the term of the Agreement. <br /> <br /> D. If either party shall neglect or fail to perform any of its <br />obligations under this Agreement and such failure continues for a <br />period five (5) days after written notice thereof, the other party <br />shall have the right to suspend or terminate this Agreement. Either <br />party shall have the right to terminate this agreement upon providing <br />thirty (30) days written notice to the other party. <br /> <br /> E. No waiver, change, or modification of any term or condition <br />of this Agreement shall be effective unless in writing and signed by <br />an authorized representative of each party. No representations or <br />statements made by any representative of Multisonics which are not <br />stated herein shall be binding. The provisions hereof constitute the <br />entire Agreement between the parties with respect to maintenance of <br />the equipment, and the terms and conditions of this Agreement <br />supersede those of all previous formal and informal maintenance <br />agreements and warranties between the parties with respect to <br />maintenance of the equipment. <br /> <br /> F. Except for manufacturers' warranties or as specified herein, <br />Multisonics excludes all express or implied warranties, including the <br />implied warranties of merchantability and fitness, with regard to the <br />performance of this Agreement and the materials and services provided <br />hereunder. <br /> <br /> - 10 - <br /> <br /> <br />
