the PROJECT occasioned by factors beyond its control, nor by <br />factors which could not reasonably have been foreseen at the <br />time the AGREEMENT was prepared. <br /> <br /> It is agreed that CONSULTANT will take reasonable steps <br />to comply with time requirements if factors beyond CONSUL- <br />TANT'S control make the time schedule difficult to achieve. <br /> <br /> ARTICLE 2: COMPENSATION AND PAYMENT FOR SERVICES. As <br />consideration for providing the services under ARTICLE 1, <br />the CITY shall compensate the CONSULTANT as provided for in <br /> <br />each AMENDMENT on one or more of the following bases: <br /> Fixed Price; or <br /> <br />Labor and Expenses; or <br />Per Diem <br />The basis of compensation for each AMENDMENT shall be deter- <br />mined at the time the CITY and CONSULTANT engage in meaning- <br />ful negotiations for that AMENDMENT. The compensation <br />methods are described in Sections A through E below. <br /> <br /> A. Fixed Price. For AMENDMENTS that specify <br /> compensation on the basis of Fixed Price, the CITY shall <br /> pay the CONSULTANT the fixed price amounts listed in <br /> the respective AMENDMENTS. Payment shall be made <br /> within 30 days after date of monthly billing for the <br /> CONSULTANT's estimate of the value of work accomplished <br /> from the date of the AMENDMENT authorization, less <br /> previous payments. <br /> <br /> B. Labor and Expenses. For AMENDMENTS which <br /> specify compensation on the basis of Labor and Expenses <br /> the CITY shall pay the CONSULTANT the amount of the <br /> CONSULTANT's salary costs expended for each service, <br /> times a multiplier for general overhead and profit, <br /> plus direct expenses in connection therewith for the <br /> services listed in the AMENDMENT. Each AMENDMENT may <br /> include a Not-to-Exceed Cost Ceiling. Except as other- <br /> wise specified herein, the total payment for each ser- <br /> vice shall not exceed the Cost Ceiling listed in the <br /> <br /> <br />
