constructed on the Demised Premises pursuant to Section 5 <br />hereof. <br /> <br /> The term "Capital Project II" means an existing <br />office building in the City of Pleasanton, California, located <br />at 123 Main Street and containing approximately 7,500 square <br />feet, including all works, properties and structures <br />comprising said building, together with parking· site <br />development, landscaping, utilities, equipment, furnishings· <br />improvements and appurtenant and related facilities, all <br />located on the Demised Premises. <br /> <br /> The term "Certificate Reserve Fund" or "Reserve <br />Fund" means the Facility Lease Certificate Reserve Fund <br />established pursuant to Section 4(c) hereof. <br /> <br /> The term "Certificate Reserve Fund Requirement" <br />means the maximum amount of Base Rental payments remaining to <br />be made by the City pursuant to this Lease during any <br />twelve-month period ending on October 1. <br /> <br /> The term "Certificates" means the certificates of <br />participation executed and delivered by the Trustee under and <br />pursuant to the Trust Agreement. <br /> <br /> The term "City" means the City of Pleasanton, <br />California, a municipal corporation of the State of California. <br /> <br /> The term "Code" means the Internal Revenue Code of <br />1986, as amended. <br /> <br /> The term "Contractor" means of <br /> California, as the construction contractor for <br />Capital PrOject I, and any successor or successors thereto. <br /> <br /> The term "Deed of Gift" means that deed of gift, <br />entitled "Deed of Gift (Capital Project II)" and dated as of <br />October 1, 1987, from the Corporation, as grantor, to the <br />City, as grantee. <br /> <br /> The term "Demised Premises" means that certain real <br />property situated in the County of Alameda· State of <br />California· described in Exhibit A attached hereto and made a <br />part hereof; subject, however, to any conditions· <br />reservations, and easements of record or known to the City. <br /> <br /> The term "Engineers" means CH2M Hill California, <br />Inc., engineers, of San Francisco, California, as engineers of <br />Capital Project I, and any successor or successors thereto. <br /> <br /> F-2 <br />1456S <br /> <br /> <br />
