shown on the EI Charm and Intersection Improvements Diagram, which transition is to be constructed for <br />the benefit of the Quarry Owners by or at the direction of the Constructing Jurisdiction pursuant to this <br />Agreement, and a portion of which transition is to be constructed on the Transition Easements Area. <br />2.12 "EVA" shall mean an emergency vehicle access point. <br />2.13 "Final Plans" shall mean a set of detailed final plans and specifications prepared <br />by or on behalf of a Jurisdiction with respect to the El Charm and Intersection Improvements, the <br />Livermore Additional Improvements, or the Pleasanton Additional Improvements, as the case may be, <br />which Final Plans shall be consistent with this Agreement in all respects. Without limitation, the Final <br />Plans shall specify the finish elevations for all Improvements and any adjacent Quarry Lands within fifty <br />(50) feet of any side of such Improvements. <br />2.14 "Future Livermore Projects" shall mean any development project within the El <br />Charm Specific Plan Area, with the exception of the Prime Outlets Project. <br />2.15 "Hanson Haul Road" shall mean the private El Charro Road through the former <br />mining property of Hanson Aggregates, formerly Kaiser Sand & Gravel, and related affiliates. <br />2.16 "Hazardous Materials" shall mean any hazardous materials or toxic substances as <br />defined and regulated by any federal, State or local law, rule, or regulation. <br />2.17 "Improvements" shall mean the El Charro and Intersection Improvements, the <br />Livermore Additional Improvements and the Pleasanton Additional Improvements. <br />2.18 "Interchange" shall mean the interchange between I-580, EI Chano Road and <br />Fallon Road, including but not limited to alI interchange improvements anticipated to be constructed by <br />the City of Dublin and the California Department of Transportation (Caltrans). <br />2.19 "Jack London/Road A Intersection" shall mean the proposed intersection of Jack <br />London Boulevard and Road A as shown on the Livermore Additional Improvements Diagram, to be <br />constructed by or at the direction of Livermore pursuant to this Agreement. <br />2.20 "Johnson-Himsl Property" shall mean the rea! property situated at the southeast <br />quadrant of the El Charm/Jack London/Stoneridge Intersection and identified as the southernmost <br />"Johnson-Himsl" property on attached Exhibit A-2. <br />2.21 "Jurisdictions" shall mean County, Livermore and Pleasanton. <br />2.22 "Livermore Additional Improvements" shall mean the proposed ultimate rights <br />of way and road and intersection improvements (including pavement, curb and gutter, drainage, number <br />and configuration of lanes, levels of service, signalization, signage, lighting and safety features) required <br />for (i) relocated Freisman Road (excluding any portion thereof constructed by Pleasanton, as the <br />Constructing Jurisdiction, as part of the El Charro and Intersection Improvements); and (ii) that portion of <br />Jack London Boulevard from El Charro Road to and including the Jack London/Freisman Intersection; all <br />as shown on the Livermore Additional Improvements Diagram. <br />2.23 "Livermore Additional Improvements Diagram" shall mean the diagram set forth <br />in Exhibit L attached hereto and incorporated herein by this reference. <br />002483.00041793691.13 6 <br />
