which Construction Management Plan shall be consistent with this Agreement in all respects, and shall <br />include (i} a complete description of the timing for construction of the Improvements covered thereby; <br />(ii) a traffic control plan for assuring continual and uninterrupted access to the Quarry Lands over El <br />Charm Road during construction as more fully described in Section 3.2; (iii) the names of all prime <br />contractors and expected subcontractors; (iv) contact names and phone numbers at the Jurisdiction, the <br />prime contractor and each subcontractor; and (v) a requirement for the provision of written monthly <br />progress reports covering the construction of the Improvements. <br />2.5 "Dedication Deed" shall mean a deed of the Dedication Parcel in the form of <br />Exhibit I attached hereto and incorporated herein by this reference, from Vulcan to County if Livermore <br />is the Constructing Jurisdiction and has completed the required Improvements thereon, or from Vulcan to <br />Pleasanton if Pleasanton is the Constructing Jurisdiction and has annexed the Dedication Parcel pursuant <br />to the provisions of Section 3.8 and completed the required Improvements thereon. <br />2.6 "Dedication Parcel" shall mean that portion of Vulcan's private El Charro Road <br />right-of--way that is to contain the El Charro and Intersection Improvements, as such area is more <br />particularly described and depicted in Exhibits J-1 and J-Z, respectively, attached hereto and <br />incorporated herein by this reference. <br />2.7 "Effective Date" shall mean, subject to the provisions of Section 17, the last date <br />of a party's execution of this Agreement, as such date is set forth following the parties' respective <br />signatures below. <br />2.8 "El Charm and Intersection Improvements" shall mean the ultimate rights of way <br />and road and intersection improvements (including pavement, curb and gutter, drainage, number and <br />configuration of lanes, levels of service, signalization, signage, lighting, and safety features) required for <br />that portion of El Charro Road from the Interchange improvements currently anticipated to be installed by <br />the City of Dublin to, and including, the EI Charro Transition, and further including (i) the EI Charro/Jack <br />London/Stoneridge Intersection, (ii) the curb returns for each of Stoneridge Drive and Jack London <br />Boulevard from the edge of the El Charro Road right-of--way; and (iii) the relocation of any utilities; and <br />(iv) the closure of the El Charro Road /Freisman Road intersection existing as of the Effective Date; all <br />as shown on the El Chan o and Intersection Improvements Diagrams. El Charro and Intersection <br />Improvements also shall include the abandonment of Freisman Road at the EI Charro Road /Freisman <br />Road intersection and the No Access Signage. If Pleasanton is the Constructing Jurisdiction, El Charro <br />and Intersection Improvements shall also include a new roadway connecting Freisman Road to the El <br />Charm/Jack London/Stoneridge Intersection. <br />2.9 "EI Charro and Intersection Improvements Diagrams" shall mean the diagrams <br />set forth in Exbibit K-1 and K-2 attached hereto and incorporated herein by this reference. Exhibit K-1 <br />shows the EI Charro and Intersection Improvements to be constructed if Livermore is the Constructing <br />Jurisdiction. Exhibit K-2 shows the EI Charro and Intersection Improvements to be constructed if <br />Pleasanton is the Constructing Jurisdiction. The parties acknowledge that the El Charro and Intersection <br />Improvements Diagrams include the depiction of a portion of the Interchange designated thereon as "By <br />Others" and that such portion may not be fully and accurately depicted on such diagrams. <br />2.10 "El Charro/Jack. London/Stoneridge Intersection" shall mean the proposed <br />intersection of El Charro Road, Jack London Boulevard and Stoneridge Drive to be constructed by or at <br />the direction of the Constructing Jurisdiction pursuant to this Agreement. <br />2.11 "El Charro Transition" shall mean the transition road and related improvements <br />connecting Vulcan's existing private El Charro Road to the widened public portion of EI Chano Road as <br />002483.00041793691.13 5 <br />
