2.24 "Livermore Land Use Approvals" shall mean all PUD, zoning, subdivision, <br />development agreement, design review, and other land use approvals and entitlements, and related <br />environmental review, certifications and permits, that may be or are granted by Livermore at any time for <br />or in connection with the Current Livermore Projects or the Future Livermore Projects. <br />2.25 "Livermore Projects" shall mean, collectively, the Current Livermore Projects <br />and the Future Livermore Projects. <br />2.26 "Material Modification" shall mean, with respect to any Improvement, any <br />material or substantial modification to such Improvement and/or the Final Plans therefor, including but <br />not limited to any change in the number and configuration of lanes, levels of service, signalization, or <br />safety features. <br />2.27 "Memorandum of Agreement" shall mean a recordable memorandum of this <br />Agreement in the form of Exhibit N attached hereto and incorporated herein by this reference. <br />2.28 "Mining Termination Date" shall mean the date upon which all quarry, mining, <br />processing, sales, distribution, reclamation and other related operations on the Quarry Lands terminate. <br />2.29 `21o Access Signage" shall mean signage, pavement markings and signalization <br />on EI Charro Road, Jack London Boulevard and Stoneridge Drive warning motorists that El Chanro Road <br />south of the El Charro/Jack London/Stoneridge Intersection is a private road and restricted to Quarry <br />Lands-related traffic, which shall be installed by the Constructing Jurisdiction as part of the El Charro and <br />Intersection Improvements pursuant to this Agreement in order to mitigate the public safety risks <br />associated with unauthorized vehicles entering and using the private portions of El Charro Road. Such <br />signage, pavement marking and signalization program shall include, at a minimum, the signage, pavement <br />markings and signalization indicated in the El Charro and Intersection Improvements Diagrams. <br />2.30 "Pleasanton Additional Improvements" shall mean the proposed ultimate rights <br />of way and road and intersection improvements (including pavement, curb and gutter, drainage, number <br />and configuration of lanes, levels of service, signalization, signage, lighting and safety features) to <br />construct a one hundred. (100)-foot portion of Stoneridge Drive in addition to that portion of such <br />roadway constructed as part of the El Chatro and Intersection Improvements, all as set forth in the <br />Pleasanton Additional Improvements~Diagram. <br />2.31 "Pleasanton Additional Improvements Diagram" shall mean the diagram set forth <br />in Exhibit O attached hereto and incorporated herein by this reference. <br />232 "Pleasanton EIR"shall mean the draft and final environmental impact report for <br />the Staples Ranch Project to be prepared by Pleasanton pursuant to CEQA following the Effective Date. <br />2.33 "Pleasanton Land Use Approvals" shall mean all PUD, zoning, subdivision, <br />development agreement, design review, and other land use approvals and entitlements, and related <br />environmental review, certifications and permits, that may be or are granted by Pleasanton at any time for <br />or in connection with the Staples Ranch Project. <br />2.34 "Prohibited Access Restriction" shall mean: <br />(a) any Regulation of any Jurisdiction which is more restrictive than any <br />Regulation in existence and enforced with respect to EI Charro Road as of November 1, 2006, and which: <br />002483.00041793691.13 <br />
