^ Exhibits A & B <br />^ Certificate of Insurance <br />^ Professional Liability (if required) <br />AGREEMENT BETWEEN CITY OF PLEASANTON & <br />AMADOR LIVERMORE VALLEY HISTORICAL SOCIETY <br />THIS AGREEMENT is entered into on July 1, 2007, between the CITY OF <br />PLEASANTON, a municipal corporation ("City"), and AMADOR LIVERMORE VALLEY <br />HISTORICAL SOCIETY ("ALVHS") whose address is 603 Main Street, Pleasanton, CA 94566. <br />RECITALS <br />A. The City and ALVHS desire to combine efforts to enhance and expand the <br />interpretive programming and administrative operations within the City of Pleasanton. To that <br />end, the City will provide ALVHS with annual financial support in the amount of $138,805 in <br />order for ALVHS to provide such services for the City-owned Alviso Adobe Community Park <br />and the ALVHS-operated Museum on Main Street. <br />B. In consideration of the City's financial support, ALVHS will provide the City <br />with consulting, planning, and administrative services as outlined in this Agreement. <br />NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br />Agreement, City and ALVHS agree as follows: <br />1. ALVHS's Services. ALVHS shall diligently perform the services described in <br />Exhibit "A", Scope of Work, attached and incorporated to the extent consistent with this <br />Agreement. <br />2. Term. Time is of the essence. ALVHS shall begin work in July 2007. This <br />Agreement commences on July 1, 2007 and expires on June 30, 2008. It is the parties' intent <br />that this Agreement will be extended for an additional three years to June 30, 2011; however this <br />extension is contingent upon the City Council's approval of an operating budget in subsequent <br />fiscal years (July 1 -June 30) that includes future funding for this Agreement. <br />3. Compensation. For the services to be rendered, City shall pay ALVHS an initial <br />payment of $34,701 on or before July 27, 2007. Thereafter, beginning on October 1, 2007, <br />ALVHS shall invoice the City $11,567 per month on a monthly basis to be paid on or before the <br />10`" of each month. Total compensation for this Agreement shall not exceed $138,805 for the <br />first year of services. <br />4. Sufficiency of ALVHS's Work. By executing this Agreement, ALVHS <br />warrants that all services will be performed in a competent, professional and satisfactory manner. <br />5. Ownership of Work. All reports, work data, plans, drawings, specifications, <br />designs, photographs, images, works of authorship and all other documents completed or <br />Page 1 of 5 <br />
