Funds electronically <br />deposited to the clearing account by Ameritrust on the <br />schedule outlined above may then be transferred by writing a <br />check for the total amount of bankcard transactions processed <br />during the day and making a deposit of that check to the <br />Client's local bank account. <br />Ameritrust shall not be required to process any <br />transactions in connection with which: <br />a. The Qualified Card used had expired or prior <br />notice of its revocation or invalidity was given the <br />Client; <br />b. There has been any gross negligence, fraud or <br />dishonesty on the part of any employee of the Client; <br />c. Any required authorization, obligation, time <br />period, procedure or agreement hereof has not been <br />obtained, fulfilled or observed by the Client; and <br />d. there is any dispute or defense between the <br />Client and cardholder whether or not valid. <br />Ameritrust shall be financially responsible to the Client <br />for the net amount of all transactions until such amount is <br />deposited into the Client's account. (Ameritrust is a <br />federally chartered FDIC insured commercial bank and a <br />principal member of the visa and MasterCard Networks. As <br />such, Ameritrust must and does comply with all Visa and <br />MasterCard regulations. These regulations provide that <br />Ameritrust is financially responsible for all transactions <br />from the time of initiation until properly credited to the <br />Client's designated account.) <br />6 06/06/91 <br />
