AGREEMENT FOR WIRELESS COMMUNICATIONS CONSULTING SERVICES THIS AGREEMENT is between the City of Livermore, a municipal corporation of the State of California, the City of Pleasanton, a municipal corporation of the State of California (collectively "Cities"), and Macro Corporation, A KEMA Company, a Pennsylvania Corporation (Consultant). RECITALS In 1990, the City'of Livermore began operating an 800 MHz trunked radio communications system (radio communications system) to serve the Livermore Police Department. In 1994, the Cities entered into an Intergovernmental Agreement regarding the joint use of the radio communications system. As part of this agreement the City of Pleasanton agreed to purchase half of all fixed assets located at the primary trunking site on Doolan Hill in the City of Livermore and to equally share the costs for future modifications. The Cities require the services of a Consultant to evaluate the radio communications system, to complete a needs assessment, and to assist with the selection of the best solution to improve the system. The primary goal is to develop a long-term planfor wireless voice communications, including the associated interconnecting network. Consultant possesses distinct professional skills necessary to perform the services described in this Agreement. NOW, THEREFORE, Cities and Consultant agree as follows: 1. Independent Contractor Status: Consultant is an independent contractor and has control over the means and methods of performing the services contemplated by this Agreement. Consultant understands that its services are being offered as an independent contractor. Nothing in this Agreement shall in any way be construed to mean that Consultant or any of its agents or employees are agents, employees or representatives of the City of Livermore or the City of Pleasanton. 2. Services to be Provided: Consultant shall perform the services described herein, in accordance with the terms and conditions contained in this Agreement. A. Consultant shall evaluate the radio communications system and provide recommendations for the Cities and provide a detailed evaluation of the existing equipment and usage and recommend options to meet current and future needs for the Cities to meet the objectives of the optimal system which are: 1. Automate and improve voice and data communications; 2. Increase productivity in communication tasks; 3. Automate routine tasks; Wireless Communications Consulting Services Agreement Page 1 of 7
