<br />AGREEMENT FOR WIRELESS COMMUNICATIONS <br /> <br />CONSULTING SERVICES <br /> <br />THIS AGREEMENT is between the City of Livermore, a municipal corporation of the <br />State of California, the City of Pleasanton, a municipal corporation of the State of California <br />(collectively "Cities"), and Macro Corporation, A KEMA Company, a Pennsylvania Corporation <br />(Consultant). <br /> <br />RECITALS <br /> <br />In 1990, the City'of Livermore began operating an 800 MHz trunked radio communications <br />system (radio communications system) to serve the Livermore Police Department. <br /> <br />In 1994, the Cities entered into an Intergovernmental Agreement regarding the joint use of <br />the radio communications system. As part of this agreement the City of Pleasanton agreed to <br />purchase half of all fixed assets located at the primary trunking site on Doolan Hill in the City of <br />Livermore and to equally share the costs for future modifications. <br /> <br />The Cities require the services of a Consultant to evaluate the radio communications <br />system, to complete a needs assessment, and to assist with the selection of the best solution to <br />improve the system. The primary goal is to develop a long-term planfor wireless voice <br />communications, including the associated interconnecting network. <br /> <br />Consultant possesses distinct professional skills necessary to perform the services <br />described in this Agreement. <br /> <br />NOW, THEREFORE, Cities and Consultant agree as follows: <br /> <br />1. Independent Contractor Status: Consultant is an independent contractor and has <br />control over the means and methods of performing the services contemplated by this <br />Agreement. Consultant understands that its services are being offered as an independent <br />contractor. Nothing in this Agreement shall in any way be construed to mean that Consultant or <br />any of its agents or employees are agents, employees or representatives of the City of <br />Livermore or the City of Pleasanton. <br /> <br />2. Services to be Provided: Consultant shall perform the services described herein, <br />in accordance with the terms and conditions contained in this Agreement. <br /> <br />A. Consultant shall evaluate the radio communications system and provide <br />recommendations for the Cities and provide a detailed evaluation of the existing equipment and <br />usage and recommend options to meet current and future needs for the Cities to meet the <br />objectives of the optimal system which are: <br />1. Automate and improve voice and data communications; <br /> <br />2. Increase productivity in communication tasks; <br /> <br />3.
