<br />TVBCEC and the Center through the Tri-Valley Housing Opportunity Center Advisory <br />Board (lhe "Advisory Board") on the services and programs lhat are to be provided by <br />the Center. The Advisory Board will be comprised of one representative from the staffs <br />of each ofthe PPJs and will meet from lime-to-lime as determined by the membership. <br /> <br />3. The Cenler will provide informalion to residenls of the PPJs regarding privale sector <br />lender programs, funding sources and homebuyer pre and post purchase education. The <br />Center will offer a comprehensive counseling and education program to expand mortgage <br />credil opportunities and increase homeownership in the Tri- Valley region. <br /> <br />4. The City of Dublin will provide $50,000 in fiscal year 2005/06, to lhe Center when the <br />following conditions are met: the Center has a permanent Executive Direclor, the Center <br />submits a Business Plan approved by lhe City of Dublin, and the Cenler is operalional <br />and is providing verifiable services 10 Dublin residents. <br /> <br />5. The Cities of Livermore, Pleasanton, and San Ramon shall each contribute $50,000 in <br />fiscal year 2005/2006, in quarterly installments of $12,500 either to the TVBCEC or, <br />after lhe incorporation date, to the Center. <br /> <br />6. The Town of Danville will contribute $50,000 either to the TVBCEC or, after the <br />incorporation date, 10 lhe Center, in three installments: $16,700 in FY 2005/2006; <br />$16,700 in FY 2006/2007; and $16,600 in FY 2007/2008. <br /> <br />7. If another organization (including a municipality) agrees to provide funding to the <br />Center, this Agreemenl will be amended, with the approval of each PPJ. <br /> <br />8. Until the incorporation date, the TVBCEC will ensure that the Center complies with <br />applicable Federal, State, and Local regulalions, prepare all required documentation, <br />undertake all monitoring responsibilities required for operation ofthe project, and will <br />keep all documents relating to the operation ofthe Center readily accessible to the PPJs. <br />All PPJs, lhrough an authorized employee, represenlative or agent, shall have the right <br />during the term of this Agreement and for three (3) years from the termination of this <br />Agreement 10 inspecl, copy and/or audil the books and records of lhe TVBCEC or lhe <br />Center for the purpose of verifYing any and all charges or expendilures made by the <br />TVBCEC or the Cenler in connection with the contributions of monies made by the PPJs. <br />The requesting PP J shall provide reasonable notice of its intenl to inspect, copy or audil <br />during regularly scheduled hours of operations and with notice also provided to all other <br />PPJs. <br /> <br />9. The TVBCEC shall hold harmless and indemnifY the PPJs, their officers, employees, and <br />volunteers for any and all liability arising out of lhe TVBCEC's and lhe Cenler's <br />negligenl acts under this Agreement. <br /> <br />10. As part ofits managemenl responsibilities from lhe dale oflhis Agreement until the <br />incorporation date, the TVBCEC shall procure and maintain, at its own expense <br />insurance for the Cenler's operalions against claims for injuries to persons or damages 10 <br /> <br />Page 2 <br />
