A. Definitions. <br /> <br /> 1. tCapacity Rights~ means the right to use <br />wastewater treatment, transmission, disposal, reclamation and/or <br />reuse capacity of any one or more of the Agency~s Facilities <br />expressed as wastewater volume in millions of gallons per day <br />(mgd), biochemical oxygen demand (BODs) in pounds per day <br />(lbs/day) and total suspended solids (TSS) in pounds per day, as <br />appropriate for the Facility to which the Capacity Rights may <br />pertain. Capacity Rights initially are acquired for use of a <br />particular Facility in the same proportion as the ownership <br />rights in the Facility of each Participating Member of the <br />Project for which the Facility was acquired and/or constructed. <br />Notwithstanding the foregoing, Capacity Rights may be transferred <br />pursuant to section F of this paragraph XXIII. A transfer or <br />conveyance of Capacity Rights does not transfer or convey any <br />right, title, or interest in or to the Facility, or any portion <br />thereof, to which such Capacity Rights pertain unless expressly <br />so provided in a written agreement between the Participating <br />Members of the Project for which the Facility was acquired and/or <br />constructed. <br /> <br /> 2. tCapital Expenditures~ means those <br />expenditures or any part thereof made to study, plan, design, <br />acquire and construct a Facility or Facilities for a Project or <br />Projects. <br /> <br /> - 3 - <br /> <br /> <br />
