3. ~Facility~ or ~Facilities~ means any real <br />property, building, words or improvement acquired or constructed <br />by the Agency for a Project or Projects. <br /> <br /> 4. ~Joint Use Facility~ or ~Facilities~ means any <br />Facility or Facilities acquired and/or constructed by the Agency <br />for the use of any two or more Participating Members for a <br />Project. <br /> <br /> 5. ~Operation and Maintenance Costs~ means all <br />costs directly associated with the operation, maintenance, <br />improvement, repair and replacement of a Facility or Facilities <br />including costs of labor, materials, supplies, power, chemicals, <br />utilities, professional and other contractual services, research <br />and monitoring, tools and equipment, and other expenses necessary <br />to keep such Facility or Facilities in proper operating condition <br />and to maintain its or their useful life or lives, together with <br />allocated Administrative Overhead Costs attributable to operation <br />and maintenance activities. <br /> <br /> 6. ~Project~ means the studying, planning, <br />designing, financing, acquisition and construction of a Facility <br />or Facilities by the Agency in furtherance of the purposes of <br />this Agreement for the treatment, transmission, disposal, <br />reclamation or reuse of wastewater emanating from any one or more <br />of the respective Jurisdictions of the Parties. A Project or <br />Projects may be studied, planned, designed, acquired, <br />constructed, operated and maintained as separate and distinct <br />Projects or in phases or stages, as the Agency shall determine. <br /> <br /> - 4 - <br /> <br /> <br />
