RentaL Lessee covenants and agrees to pay City rent in the amount of ONE AND <br />NO/IOOTHS DOLLAR ($1.00) annually commencing on the effective date of this lease. <br /> <br />40 Purooseso The Property shall be used exclusively for the purpose of providing <br />services as stated above, Lessee shall not use the Property for any other purpose not related to <br />these services. <br /> <br />5, Repairs and Maintenanceo The Property, including the Facility, is leased in an "as <br />is" conditiono Lessee shall keep the interior of the Facility in good repair, including regular <br />custodial service and refuse collection services, during the term of this lease at Lessee's o~ <br />expense. Upon termination of this lease, Lessee shall yield up the Property to City in good <br />condition and repair (loss by fire and ordinary ~ear excepted)o City shall maintain the grounds <br />and the Facility's roof, exterior ~alls and doors, heating and air conditioning systems, ~indo~s, <br />security system including locks, ~ater utilities, pest control, carpeting/flooring, painting and <br />electrical systems as deemed appropriate by Cityo <br /> <br />6. Improvements. Lessee shall make no improvements, alterations or additions to <br />the Property, Facility or signage on the Property, including modification of the security, <br />plumbing and electrical systems, ~ithout the prior approval of City, ~hich may require <br />additional insurance and permitso The City may elect to have all improvements completed under <br />its directiono If the Lessee obtains approval to make improvements to the Facility or Property <br />and contracts directly ~ith a contractor to do so, Lessee shall cure immediately any mechanics <br />liens filed on the Property by that contractor or subcontractor or post a statutory mechanic's lien <br />release bond ~ithin seven (7) days after the filing of any mechanics lieno <br /> <br />70 Equipmento Lessee shall provide its o~ fumiture, fixtures, equipment and <br />computers 0 <br /> <br />80 Utilitieso City ~ill pay for electric, gas and ~ater/se~er utilities provided to the <br />Facility. Lessee agrees to pay for all other utilities including the installation and monthly cost for <br />telephone and computer services and refuse collection. Lessee agrees to practice good <br />conservation techniques in an effort to keep City paid utility costs at a minimumo <br /> <br />90 Liabilitvo City makes no ~arranty or representation of any kind conceming the <br />Property or Facility, or the fitness of the Property or Facility for the use intended by Lesseeo <br />Lessee has inspected the Property and Facility, kno~s and accepts its condition, ~aives any <br />express or implied indemnity against Cityo. Lessee releases City, members of the City Council, <br />its agents, officers and employees for claims from any damage to the property of Lessee or for <br />any loss of business due to the partial or complete closure of the Facility or parking provided on <br />the Propertyo Lessee agrees to indemnify, hold harmless and defend the City, members of the <br />City Council, its agents, officers and employees against any and all claims for liability, for any <br />injury to or death of any person, or damage to any property ~hatsoever caused by, created by, or <br />in any ~ay connected ~ith Lessee's use of the Property or Facility.
