Together, the above actions and policies, to be complemented by additional collaboration and <br />activities as set forth in this MOU, lay the groundwork for future development at the Site. <br /> <br />L. The City and BART wish to identify, define, and pursue the development potential at the Site. <br />So that the parties may cooperatively and collaboratively work towards that end, the purpose <br />of this agreement is to: <br /> <br />1. Clarify the processes that BART and/or the City will pursue to address the activities and <br />timelines described below; and <br />2. Provide greater clarity for all parties, including BART, the City, and members of the <br />public, on the planned steps, timelines, and the Parties’ roles and responsibilities needed <br />in seeking to further study of and planning for TOD at the Site. <br /> <br /> <br /> <br />AGREEMENT <br /> <br />I. GENERAL <br /> <br />In light of the foregoing Recitals, the Parties hereby agree to pursue joint study and planning for <br />infill development at the Site. By entering into this MOU, the Parties are not committing to <br />pursuing a specific development alternative. <br /> <br /> <br />II. PROJECT MANAGEMENT <br /> <br />A. Staff from the City are directing the study and planning efforts and will lead engagement <br />with the community, in close coordination with BART. BART will participate in the City’s <br />efforts and will provide feedback on the deliverables and materials related to said work. The <br />City will cooperate with BART and will consider its feedback. The Parties have assigned <br />existing staff resources who will engage robustly with one another, the community and other <br />stakeholders throughout the TOD planning and implementation process to ensure the TOD <br />advances smoothly and rapidly, making efficient use of each party’s staffing and resources. <br /> <br />B. The City has identified consultants contracted to MTC to assist with the Priority Sites <br />Scope of Work. BART agrees to cooperate with these efforts. Either party may identify additional <br />consultants to perform services in support of the broad goals of this MOU, including the TOC <br />Scope of Work which has yet to be developed. The City and BART will jointly develop the scope <br />of said additional consulting services. <br /> <br />Because the City is leading on the Priority Sites Scope of Work and will lead on the TOC Scope <br />of Work but both concern BART property, the Parties agree to discuss and mutually review draft <br />deliverables prior to production of final drafts. Each Party will use its best efforts to provide these <br />draft deliverables to the other Party so that it has at least three (3) weeks to perform its review and <br />provide feedback.
