Scope of Agreement <br /> Franchise Agreement with Pleasanton Garbage Service <br /> <br />City of Pleasanton Page 27 June 7, 2022 <br />such existing legislation, the Parties would meet and confer as requested by Contractor or the City 883 <br />Contract Manager or their designee to discuss how such legislation may impact the services 884 <br />provided under this Agreement. Prior to such meet and confer period, Contractor agreed to 885 <br />minimize actions (such as replacement of Collection vehicles) that may be affected by such 886 <br />legislation. Notwithstanding the foregoing, the Parties agreed that changes to this Agreement 887 <br />resulting from legislation which has been passed, but for which rules and regulations have not been 888 <br />promulgated prior to March 20, 2018, shall be considered changes resulting from a Change in Law 889 <br />once such rules are promulgated. As of the Amendment Commencement Date, this Agreement 890 <br />reflects such changes agreed to by the Parties. 891 <br />4.4 Transition to Next Contractor at End of Agreement 892 <br />If applicable, before expiration or earlier termination of this Agreement, Contractor will take direction 893 <br />from the City and subsequent contractor to assist in a timely and orderly transition of services from 894 <br />Contractor to subsequent contractor. In response to the City’s direction, Contractor shall provide then-895 <br />current route lists, which identify each Customer on the route, its Service Level (number of Containers, 896 <br />Container sizes, frequency of Collection, scheduled Collection day), and any special Collection notes, and 897 <br />detailed then-current Customer account and Billing information. Contractor may, but shall not be obliged 898 <br />to, sell Collection vehicles, equipment, or facilities to the next contractor. In accordance with Exhibit O to 899 <br />this Agreement, the next contractor will be obligated to reimburse Contractor for its ongoing landfill 900 <br />closure costs after the transition. 901 <br />4.5 City Free to Negotiate with Third Parties 902 <br />The City may investigate all options for Collection, Transportation, Processing, and Disposal services that 903 <br />will be scheduled to commence after the expiration of the Term or earlier termination of this Agreement. 904 <br />Without limiting the generality of the foregoing, the City may solicit proposals from Contractor and/or 905 <br />from third parties for the provision of Collection, Transportation, Processing, or Disposal of Solid Waste, 906 <br />Recyclable Materials, and Organic Materials services, and any combination thereof. The City may 907 <br />negotiate and execute agreements for such services that will take effect upon the expiration or earlier 908 <br />termination of this Agreement. 909
