(i) those related to the operation and maintenance of the Fairgrounds <br /> Testing Site, (ii) costs related to procuring supplies and equipment <br /> acquired by Stanford - ValleyCare for the purposes of COVID-19 <br /> emergency/disaster testing, (iii) other costs incurred by Stanford - <br /> ValleyCare to provide the testing and screening services under the <br /> MOU, including laboratory processing, labor and staffing costs <br /> (collectively the "Total Testing Costs"), will be submitted by Stanford <br /> —ValleyCare to Pleasanton. Pleasanton shall then seek reimbursement <br /> from Alameda County for such Total Testing Costs in accordance with <br /> the County MOU. Pleasanton will provide Stanford - ValleyCare and <br /> each city with a copy of each reimbursement request it submits to the <br /> County of Alameda pursuant to the County MOU. When received, <br /> Pleasanton shall pass through applicable reimbursement of the Total <br /> Testing Costs received from the County of Alameda to Stanford - <br /> ValleyCare. <br /> ii. Dublin and Pleasanton may each submit prior Total Testing Costs (not <br /> including labor and staffing) for which Dublin and Pleasanton already <br /> reimbursed Stanford— ValleyCare in the amount of$100,000 by each <br /> city, to Alameda County for reimbursement pursuant to the County <br /> MOU. Dublin shall provide Pleasanton with the invoices that Dublin <br /> received from Stanford—ValleyCare and a copy of the cancelled check <br /> for $100,000 which Dublin paid to Stanford — Valley Care, which <br /> documentation Pleasanton shall submit to Alameda County to facilitate <br /> a reimbursement to Dublin. <br /> iii. The parties acknowledge that while the use of the Alameda County <br /> Fairgrounds as the testing site was previously provided without cost,the <br /> Alameda County Fair Association has now entered into an agreement <br /> with Pleasanton to charge for the use of the fairgrounds. Pleasanton will <br /> initially pay such lease costs and then submit to Alameda County an <br /> invoice from the Alameda County Fair Association for reimbursement <br /> of the $374,100 lease costs pursuant to the County MOU. <br /> iv. Alameda County will seek federal and state funds to reimburse Dublin, <br /> Livermore, Pleasanton, and Stanford Valley-Care for Total Testing <br /> Costs and the Alameda County Fair Association for lease costs pursuant <br /> to the County MOU for a total not-to-exceed $3,417,709. Dublin, <br /> Livermore, Pleasanton, and Stanford Valley-Care acknowledge that <br /> Alameda County may not receive that full amount from federal and state <br /> sources, and Alameda County is under no obligation to use County <br /> funds to make up any shortfall. <br /> b. Reimbursement by Cities. To the extent there are Total Testing <br /> Costs(not including labor or staffing costs)incurred by Stanford—ValleyCare that <br /> exceed the amount reimbursed by Alameda County pursuant to the County MOU, <br /> Second Amendment to MOU <br /> for Funding of Tri-Valley Mobile COVID-19 Test Site Page 2 <br />
