ATTACHMENT 1 <br /> SECOND AMENDMENT TO MEMORANDUM OF UNDERSTANDING <br /> FOR FUNDING OF TRI-VALLEY COVID-19 MOBILE TEST SITE <br /> This Second Amendment to Memorandum of Understanding for Funding of Tri-Valley <br /> COVID-19 Mobile Test Site at Alameda County Fairgrounds ("Second Amendment") is made and <br /> entered into on , 2021 or the date of the last signature below, whichever is later <br /> ("Amendment Effective Date"), by and between the City of Dublin ("Dublin"), the City of <br /> Livermore ("Livermore"), the City of Pleasanton ("Pleasanton") and The Hospital Committee for <br /> the Livermore-Pleasanton Areas doing business as Stanford Health Care — ValleyCare, a nonprofit <br /> public benefit corporation ("Stanford - ValleyCare"). <br /> WHEREAS, Dublin, Livermore, Pleasanton and Stanford - ValleyCare are parties to a <br /> Memorandum of Understanding for Funding of Tri-Valley COVID-19 Mobile Test Site at <br /> Alameda County Fairgrounds signed by the parties on April 22, 2020, as amended by the First <br /> Amendment dated , 2020 (collectively the "MOU") pursuant to which Stanford — <br /> ValleyCare establishes and operates a mobile screening and testing site for the novel coronavirus <br /> at the Alameda County Fairgrounds; <br /> WHEREAS, County of Alameda and Pleasanton have entered into a Memorandum of <br /> Understanding between The County of Alameda and City of Pleasanton For COVID-19 Testing <br /> Services, as amended by the First Amendment dated , 2020 (collectively the "County <br /> MOU"), pursuant to which the County of Alameda has agreed to provide funding to Pleasanton <br /> for COVID-19 testing expenditures arising from the MOU, and extend the time for which COVID- <br /> 19 testing will be provided. <br /> WHEREAS, the parties desire to amend the MOU to reflect the funding which may be <br /> provided by Alameda County under the County MOU in the form of reimbursement of expenses <br /> passed through by Pleasanton, and to extend the period that COVID-19 testing is provided. <br /> NOW, THEREFORE, in exchange for valuable consideration, the receipt of which is <br /> hereby acknowledged, the parties agree as follows: <br /> A. COVID-19 Testing. Parties agree and acknowledge that COVID-19 testing services shall be <br /> provided through December 30, 2020, so long as tests and staff are reasonably available. <br /> B. Financial Support. Section 2 (Financial Support) of the MOU shall be deleted and replaced <br /> in its entirety by Section 2 set forth below: <br /> 2. Financial Support. <br /> a. Reimbursement by Alameda County. <br /> i. The total costs incurred by Stanford - ValleyCare to provide the testing <br /> and screening services under the MOU starting from the effective date <br /> of the MOU through December 30, 2020, including, without limitation, <br /> Second Amendment to MOU <br /> for Funding of Tri-Valley Mobile COVID-19 Test Site Page 1 <br />
