i <br /> I I L rryc:_:_:-„ <br /> — - Managing Tomorrow's Resources Today <br /> Mr.Brian Dolan <br /> March 28,2017 <br /> Page2of3 <br /> ® Programs and services needed to address the needs of the City's businesses and residents and <br /> comply with existing and future regulations. <br /> o Customer rates that are comparable to other agencies in the County with a methodology for <br /> future adjustments that results in stable and predictable future rates. <br /> o Customer service, education and technical assistance that are informative, responsive and of <br /> value to residents and businesses. <br /> o Contract management tools that provide insight into the success of operations and compliance <br /> with regulations and contract terms and the ability of City staff to effectively work with PGS <br /> management to bring services into compliance. <br /> Approach • <br /> Phase I - After reviewing background materials from your past negotiation efforts and the recent PGS <br /> proposal,I would like to meet with you and other City staff to discuss your intermediate and longer term <br /> solid waste management goals and the strategic objectives to be achieved in your next solid waste <br /> franchise agreement. Against these goals and objectives,I would like us to develop minimal acceptable <br /> terms for the next solid waste franchise agreement; whether that is with PGS or another <br /> contractor. Based on these terms, I would like us to.discuss PGS' recent proposal to you, in order to <br /> identify any necessary gaps between PGS' recent proposal and your minimal acceptable terms. At the <br /> conclusion of this process, I suggest we meet with the Council Committee Subcommittee to review the <br /> findings and conclusions from these discussions and obtain their comments. <br /> Phase II - I suggest that we allow up to three meetings with PGS to arrive at a Memorandum of <br /> Understanding(MOU)that would be executed by PGS and,if approved by the Council,would serve as the <br /> basis for an extended and restated franchise agreement. The number of meetings,if properly planned, <br /> prepared for and managed should be adequate for this purpose. The purpose of the MOU is to go back <br /> to Council,with well documented contract terms,for direction as to whether to negotiate an agreement <br /> with PGS or go to a competitive process. If we cannot reach agreement,we will document the points of <br /> agreement and disagreement for presentation to Council. <br /> Phase Ill-If the Council directs staff to negotiate an agreement with PGS based on the terms of the MOU, <br /> we would prepare up to two drafts and one final agreement during the negotiations with PGS. Of course, <br /> the drafts and final agreement would be reviewed by City staff and the City Attorney's office and their <br /> comments incorporated. <br /> SChedulle <br /> We are prepared to commence the engagement within two weeks of receiving a notice to proceed. <br /> Assuming City and PGS staff availability, we could be prepared to go to Council with the results of <br /> negotiations and the MOU by the middle ofJune. If Council directed us to negotiate a restated agreement <br />
