AMENDMENT TO REIMBURSEMENT AGREEMENT FOR THIRD -PARTY CONSULTING COSTS *--47376 This Amendment to Reimbursement Agreement for Third -Party Consulting Costs ( "Amendment ") is entered into on December , 2015, between the City of Pleasanton, a general law city ("City ") and Nearon Enterprises, LLC, a California corporation ( "Owner"). RECITALS 1. The parties entered into a Reimbursement Agreement for Third Party Consulting Costs Incurred by the City of Pleasanton to Establish the Johnson Drive Economic Development Zone an July 15, 2014, which was amended by the letter dated July 28, 2015 (counter- signed July 30, 2015) agreeing to Additional ESA Costs for Reimbursement, and further amended by letter dated August 7. 2015 (counter- signed August 10, 2015) agreeing to additional traffic analysis costs (collectively the "Agreement"). 2. The parties desire to further amend the Agreement to address additional work needed from Fehr and Peers for the Caltrans Peer Review process, as well as to extend the term of the Agreement. NOW, THEREFORE, it is agreed as follows: Section A. Additional Fehr and Peers Consulting Costs. Owner agrees to reimburse City for the additional Fehr and Peers consulting costs attached as Exhibit A as Eligible Consulting Costs. Section B. Extension of Term. Section 4. Term of the Agreement shall be extended to July 30, 2016. Section C. All other terms of the Agreement remain in full force and effect unless specifically modified by this Amendment.
