• r , ATTACHMENT PROFESSIONAL SERVICES AGREEMENT THIS PROFESSIONAL SERVICES AGREEMENT ("PSA") is entered into this 20th day of May 2015, between the CITY OF PLEASANTON, a municipal corporation ("City"), and Tyler Technologies, Inc., a corporation whose address is One Tyler Drive, Yarmouth, ME 04096, and telephone number is 800-328-0310, ("Consultant"). RECITALS A. Consultant is qualified to and experienced in providing software license and related services for the purposes specified in this PSA. 13. City finds it necessary and advisable to use the services of the Consultant for the purposes provided in this PSA. NOW THEREFORE, in consideration of the mutual covenants and conditions in this PSA, City and Consultant agree as follows: 1. Consultant's Services. Subject to the terms and conditions set forth in this PSA, Consultant shall provide to City the services described in the Tyler Technologies License and Services Agreement, including Exhibits A(Investment Summary), 13 (Invoicing and Payment Policy), B Schedule 1 (Business Travel Policy), C (Maintenance and Support Agreement)C Schedule 1 (Support Call Process), Exhibit D(DocOrigin End User License Agreement) (collectively the "Tyler Agreement"). Consultant shall provide said services at that time, place and in the manner specified in the Tyler Agreement,except as the Tyler Agreement is amended as described herein. 2. City Assistance, Equipment and Clerical Support. Except as set forth in the Tyler Agreement,Consultant shall, at its sole cost and expense, furnish all equipment that may be required for furnishing services pursuant to this PSA. City shall furnish to Consultant only the equipment listed in the Tyler Agreement according to the terms and conditions set forth in the Tyler Agreement; except that the Site Access and Requirements of Section C, Subsection 6, of the Tyler Agreement are subject to the reasonable restrictions of the City's Information Technology manager, or his or her designee. The foregoing notwithstanding, City shall provide all hardware, operating systems and other items reasonably required to host and use software of the type being licensed by Consultant. 3. Terms. This contract shall commence on the date written above and the term for maintenance and support services shall be as described in the Tyler Agreement Exhibit C, Maintenance and Support Agreement, Section 1 Term. The implementation of the project (including all professional services itemized in the Investment Summary) by Consultant shall be completed by June 30, 2018 provided City timely meets all its obligations pursuant this PSA and the Tyler Agreement.
