Lessee has installed the following equipment within the premises <br /> identified in Attachment "B": (1) a 12 x 20 equipment shelter and all associated items inside; (2) <br /> one microwave dish; (3) utility service lines on the Leased Area on the Premises for the <br /> operation of a communications system. <br /> (c) Changes in Equipment or Antenna. Lessee shall not modify, alter, replace, upgrade <br /> or otherwise change any Equipment or the Antenna identified in Attachments B without the prior <br /> written consent of City, which consent shall not be unreasonably withheld, conditioned or <br /> delayed. Lessee shall secure all proper governmental approvals and permits for said changes, if <br /> any are necessary. Such changes may be subject to additional rent per Section 5(d) below. <br /> (e) The Antenna and Equipment, and connections between them and to utilities, are <br /> collectively referred to as the 'Wireless Telecommunication Facility" for this Lease Agreement. <br /> In order to obtain consent from Cities for any change in the Equipment or the Antenna placed on <br /> the Tower, Lessee, at its own cost and expense, shall explain the effect of the change and <br /> demonstrate to the reasonable satisfaction of Cities that the change in the Equipment or <br /> Antenna will not interfere with the structural stability of the existing Tower and use of the <br /> essential communications Tower by Cities or any lessees thereon. The demonstration shall <br /> also analyze the effect of the change on communications from the Tower by Cities and other <br /> lessees and whether the change impairs access to equipment, antennas, and facilities by Cities <br /> or any other lessees on the Property. <br /> With respect to Equipment which would be installed only in the Premises and not on the Tower, <br /> such Equipment shall be promptly approved by City unless Lessee is proposing to install <br /> connections or equipment, outside of the envelope of the Premises and the Antenna Site in <br /> which case, City shall reserve the right in City's discretion to disapprove the proposed <br /> connections or equipment including their location or approve said connections or equipment <br /> subject to "Additional Rent' provisions in Section 5 below. <br /> 4. Term. The initial term shall be for five (5) years ("Initial Term") commencing on the <br /> Effective Date. Lessee shall have the option to extend the term of this Lease Agreement for <br /> one additional five (5) year term after the Initial Term expires ("Extended Term"). The Extended <br /> Term shall be deemed automatically exercised by Lessee without the requirement of delivering <br /> a written notice to the Cities unless Lessee notifies the Cities in writing no later than ninety (90) <br /> calendar days before expiration of the Initial Term that Lessee elects not to exercise the option <br /> for the Extended Term. If Lessee is in material default beyond the applicable cure under this <br /> Lease Agreement at the time of exercising its option to extend the Term of this Lease <br /> Agreement, the option notice shall be ineffective and Lessee shall have no right to extend the <br /> Term beyond the Initial Term until and unless Lessee cures the applicable material default prior <br /> to the commencement of the Extended Term. The Base Rent for the Extended Term shall <br /> increase as set forth in Paragraph 5(c) below. The Initial Term and the Extended Term are <br /> hereinafter collectively referred to as the 'Term". <br /> 5. Rent and Deposits. <br /> (a) One-Time Lease Execution Charge. Within 30 days of the Effective Date of this <br /> Lease Agreement, Lessee shall pay Cities the amount of Five Thousand and No/100 Dollars <br /> ($5,000.00) as a one-time "Lease Execution Charge" as follows: (i) one check for 50% of the <br /> Lease for Installation of Telecommunications Equipment-Final Page 3 <br />
