ATTACHMENT 1 <br /> City of Pleasanton <br /> 3333 Busch Road <br /> Pleasanton CA 94566 <br /> Attention: Robert Falco, Energy Services Account Executive, Honeywell <br /> Subject: Letter of Intent Regarding Comprehensive Efficiency and Conservation <br /> Measures Program <br /> Dear Robert: <br /> This letter is to confirm that the City of Pleasanton intends to proceed with Honeywell <br /> International, Inc. toward finalizing a contract for energy efficiency and conservation <br /> improvements of City-owned facilities and infrastructure. The contract will require Honeywell <br /> to deliver a program for solution development, engineering design, project implementation <br /> and if required, financing of capital improvements to deliver energy efficiency, water <br /> conservation, and operational and maintenance savings. <br /> This Letter of Intent shall be effective for 90 days or until superseded by an executed <br /> contract between the parties, whichever comes first. The parties may agree in writing to <br /> extend the time period covered by this Letter of Intent. During the time this Letter of Intent <br /> remains in effect, the City of Pleasanton shall not negotiate with any party other than <br /> Honeywell concerning comprehensive efficiency and conservation measures. <br /> During the time this Letter of Intent remains in effect Honeywell shall undertake certain <br /> program development activities including: <br /> 1) Performance of an investment-grade assessment for selected City facilities, including but <br /> not limited to the following: <br /> • Senior Center, Fire Stations # 1, # 2, # 4, Golf course, City Hall, City Hall <br /> Annex, Police Department, Corporate Yard, Library <br /> • Street lights (including Park, Site lights) <br /> • Commercial and residential water meters + technology (AMl) <br /> • Fleet vehicles <br /> • Renewable energy opportunities <br /> 2) Development of proposed projects to provide for energy conservation, water <br /> conservation, and water revenue generation. <br /> 3) Honeywell will also provide following services for projects selected by the City: <br /> • Design and subsequent installation of facility improvement and energy efficient <br /> equipment and systems; <br /> • Measurement and verification of project savings and revenue generation; <br /> Page 1 of 2 <br />
