EXHIBIT B <br /> OPERATING POLICIES <br /> The City and Little Valley Winery have agreed to guidelines on the policies and <br /> regulations for the provision of concession and catering services at the Firehouse Arts <br /> Center. Following are the operating clarifications that have been agreed upon for the <br /> upcoming 2011-2012 season. The points of understanding described below are <br /> guidelines, and both parties understand that not all issues are foreseeable. Corrections or <br /> modifications will be agreed upon with the consent of both parties. <br /> 1) Concessionaire Hours of Operation <br /> a) For Concession Operations: <br /> (i) Opening: 60 minutes prior to the first scheduled performance; <br /> (ii) Intermission: Duration of intermission; and <br /> (iii)Closure: If appropriate: 15 minutes after the intermission <br /> b) For Special Catered Events: <br /> Opening: To be determined by mutual agreement between the <br /> City and Little Valley Winery; <br /> During Event: To be determined by mutual agreement between the <br /> City and little Valley Winery; and <br /> Closure: To be determined by mutual agreement between the <br /> City and Little Valley Winery. <br /> 2) Policies and Procedures <br /> a) For all scheduled performances, the City will provide information about <br /> upcoming shows at the Firehouse Arts Center to Little Valley Winery at least <br /> three (3) days prior to the event. This information will include: 1) an estimated <br /> number of ticket sales; 2) whether an intermission is scheduled; and 3) the event <br /> start/end times. <br /> b) Little Valley Winery agrees to sell concessions for all ticketed performances at <br /> the Firehouse Arts Center. <br /> c) Little Valley Winery agrees to offer age-appropriate food and drink, depending on <br /> the nature of the show and the target audience. For example: for more family- <br /> based audiences, Little Valley Winery will offer a small variety of juices and <br /> sodas as well as snacks appropriate for children and their parents. <br /> d) For special catered events, where Little Valley Winery is not providing food <br /> service, the City and Little Valley Winery will consult in advance as to the <br /> number of individuals attending, type and date/time of event, type of food being <br /> provided by the catering service, budget, etc. The parties will then develop an <br /> appropriate wine and/or beer list to be served. <br /> 8 <br />
