AGREEMENT RELATED TO ARROYO MOCHO BRIDGE <br />AND CHANNEL REALIGNMENT PROJECT <br /> <br /> This Agreement is made as of the date set forth below, by and between HANSON <br />AGGREGATES MID-PACIFIC, INC., a Delaware corporation, formerly known as KAISER <br />SAND AND GRAVEL COMPANY ("Hanson") and THE CITY OF PLEASANTON, a <br />California municipal corporation ("City"), with reference to the following facts: <br /> <br />RECITALS: <br /> <br /> A. Hanson owns various real property in unincorporated territory of Alameda <br />County situated north of Stanley Boulevard and east of the existing City limits of City consisting <br />of various gravel-bearing lands, mined out gravel quarries, and other land (collectively the <br />"Hanson Properties"). <br /> <br /> B. A road known as E1 Charro Road intersects with Interstate 580 on the <br />north and runs in a southerly direction through various lands owned by others, crosses a water <br />course known as the Arroyo Mocho, enters the north boundary of the Hanson Properties and <br />continues south through Hanson Properties to Hanson's existing processing plant and other <br />facilities. Portions of the land crossed by El Charro Road are owned by the Surplus Property <br />Authority of the County of Alameda (the "Surplus Property Authority"). the County of Alameda <br />("County") and/or by the Zone 7 of Alameda County Flood Control and Water Conservation <br />District ("Zone 7"). E1 Charro Road is a private road and there is no outstanding offer of <br />dedication to City or County by Hanson of any of its interests in El Charro Road or of any <br />portion of the Hanson Properties. <br /> <br /> C. It is contemplated that at some point in the future, certain lands located <br />north of the Hanson Properties owned by the Authority. as well as certain portions of the Hanson <br />Properties, may be annexed by the City prior to the development of such lands of the Authority <br />and/or Hanson. Although neither the boundary reorganization or annexation process nor any <br />land use entitlement or project-specific planning and zoning process as yet has been undertaken <br />by the City with respect to these matters, these properties are in the City's sphere of influence. <br />The City further has expressed a continuing interest in the eventual incorporation of El Charro <br />Road into the public street system of City and the City's General Plan includes a future arterial <br />street in the general location of existing El Charro Road. <br /> <br /> D. Hanson and the Authority currently are planning a joint project to be <br />constructed in part on Hanson Properties which consists of a realignment of the existing channel <br />of Arroyo Las Positas and the filling of some of the existing channel of Arroyo Las Positas to <br />enhance the lands owned by the Authority, together with related channel improvements in the <br />Arroyo Mocho to be dedicated to Zone 7 (collectively the "Arroyo Realignment Project"). In <br />conjunction with the Arroyo Realignment Project, Hanson's existing private bridge over the <br />Arroyo Mocho will be demolished and a new bridge will be constructed for Hanson (the <br />"Replacement Hanson Bridge"). Hanson and the Authority have consulted with the Planning <br />Department of City with respect to the design and configuration of the Hanson Replacement <br />Bridge in order to assure that it will coincide with the planned future alignment of E1 Charro <br /> <br /> - 1 - 3/24/03 <br />KAIX34740\514764 2 <br /> <br /> <br />
