Road as contemplated by City and be suitable at a future date for dedication and acceptance by <br />City as a public road and bridge of City. To this end, Hanson and the Authority also have <br />engaged professional engineers and other consultants to design the Bridge to meet the design <br />standards of the County, the City and the California Department of Transportation ("CalTrans"). <br /> <br /> E. The parties desire to enter into this Agreement for the purpose of <br />providing for a common inspection process that the City will acknowledge meets the City's <br />planning and construction requirements for future acceptance of a future offer of dedication of <br />the Hanson Replacement Bridge as a part of a public street, if and when such offer of dedication <br />occurs, and to confirm the understanding of the parties with respect to the construction, <br />inspection and delivery of as-built plans for the Hanson Replacement Bridge. <br /> <br /> NOW, THEREFORE, in consideration of the mutual covenants and agreements of <br />the parties contained herein, Hanson and City agree as follows: <br /> <br /> 1. Incorporation of Recitals. The foregoing Recitals are incorporated herein <br />by this reference and constitute a part of this Agreement. <br /> <br /> 2. Effective Date. This Agreement shall be effective upon execution by <br />Hanson and approval by the City Council of City and execution thereof by the City Manager. <br /> <br /> 3. Identification of Bridge Design. City acknowledges that its staff has <br />reviewed the design plans prepared by Biggs Cardosa Associates, Inc. (the "Bridge Engineer") <br />and the related future right of way alignments and designs provided by Ruggeri-Jensen-Azar & <br />Associates (the "Project Engineer"), as such plans and specifications are listed in Exhibit "A" <br />attached to this Agreement and incorporated herein by this reference (the "Plans and <br />Specifications"). A reduced sized drawing of the Bridge design (which is only a summary and <br />not the actual Plans and Specifications referred to in Exhibit "A"), is attached to this Agreement <br />as Exhibit "B" for convenience of reference. If the Plans and Specifications are not final as of <br />the date of execution hereof, then City also agrees to participate in plan review and not <br />unreasonably withhold or delay approval of final Plans and Specifications, and authorizes the <br />City Engineer of City to approve the same on behalf of City. <br /> <br /> 4. Acceptance of Bridge Design. City agrees that the design and location of <br />the Hanson Replacement Bridge in the Plans and Specifications conform with planning goals and <br />objectives of the City's General Plan, including the circulation element, and that the proposed <br />alignment and configuration of a future public E1 Charro Road would be consistent with the <br />Hanson Replacement Bridge Plans and Specifications. If Hanson hereafter should offer to <br />dedicate portions of E1 Charro Road and the Hanson Replacement Bridge for public road <br />purposes, City will accept the Hanson Replacement Bridge, initially, as a satisfactory bridge for <br />a two-lane public road, and second, as a satisfactory southbound side of a potential future <br />four-lane road, and will not require the relocation or reconstruction of the Hanson Replacement <br />Bridge as a condition of annexing or accepting an offer of dedication of El Charro Road.
