ATTACHMENT 1 <br /> AGREEMENT FOR ART WORK <br /> (Studio 7 Fine Arts and Artist Jack Storms) <br /> THIS AGREEMENT FOR ART WORK (this "Agreement is made and entered into as <br /> of the 18th day of March, 2010 (the "Effective Date by and among the CITY OF <br /> PLEASANTON, a municipal corporation located in the state of California "City Jack Storms, <br /> an individual residing at 20014 Pine Creek Road, Red Bluff, CA 96080 "Artist and Dobronte <br /> Publishing, a business entity representing Artist and having a principal place of business at 196 W <br /> Carmel Valley Road, Carmel Valley, CA "Agent each a party to this Agreement. <br /> RECITALS <br /> WHEREAS, Gary Nancy Harrington, private citizens and non parties to this agreement <br /> "the Harringtons") have made an offer to donate to City, and City desires to accept said offer <br /> and to commission and acquire on behalf of the Harringtons, an optic crystal, bell- shaped <br /> sculpture (the "Work which has been conceived and will be designed by the Artist to be <br /> installed in the lobby near the west entrance of the Firehouse Arts Center building in Pleasanton, <br /> California (the "Site and <br /> WHEREAS, Artist desires to accept said commission to design and fabricate the Work; <br /> and <br /> WHEREAS, Artist and Agent desire to transfer ownership of the Work as well as certain <br /> Intellectual Property interests in the Work to City; and <br /> WHEREAS, City desires to accept ownership of the Work as well as certain Intellectual <br /> Property interests in the Work. <br /> NOW, THEREFORE, in exchange for mutual consideration, the adequacy of which has <br /> been agreed upon by the parties, the parties hereby agree as follows: <br /> 1. COMMISSION FOR WORK BY ARTIST. City hereby commissions Artist, and <br /> Artist hereby accepts said commission to design the Work as generally described in the Exhibit <br /> A attached hereto and incorpsrated herein. Artist agrees to coordinate its activities pursuant to <br /> this Agreement and consult with Agent during the design and fabrication process. <br /> A. Fabrication. Artist agrees to fabricate the Work, as generally described in <br /> Exhibit A, in Artist's studio in Red Bluff, CA and to engage in periodic consultation with <br /> Agent as to the progress of said fabrication. Artist agrees to engage the services of a private <br /> contractor for the design, engineering, fabrication, and construction of the decorative metal <br /> framework "Framework for the Work, said Framework to be sufficient in strength and size <br /> to suspend the Work and house the Work's rotation motor as described in Exhibit A and which <br /> shall be coated and finished to blend with the base and surrounding architecture of the Site. <br /> Artist shall procure and install a rotation motor "Motor inside the Framework so as to <br /> allow the glass bell element of the Work to rotate freely through a 360 degree arc without <br /> interference.
