<br /> 2 <br />(j) WHEREAS, the City and Association’s existing five-year agreement which <br />formalizes the Association’s administration of the Downtown Pleasanton Business <br />Improvement District (“District”) expired on December 31, 2024; and <br />(k) WHEREAS, a Property and Business Improvement District feasibility study was <br />completed for the consideration of an assessment restructure to take effect in 2026; and <br />(l) WHEREAS, the City and Association wish to enter into this Agreement for the <br />Association to continue administration of the District; and <br />(m) WHEREAS, the Pleasanton City Council has determined that the public interest, <br />convenience and necessity require the execution of this Agreement to provide for the <br />services of Association as hereinafter set forth. <br />NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL CONVENANTS <br />AND CONDITIONS IDENTIFIED HEREIN, THE PARTIES HEREBY AGREE <br />AS FOLLOWS: <br /> <br />1. TERM. The effective date of this Agreement shall commence on January 22, 2025, and <br />the Agreement shall continue until December 31, 2025 or until terminated by either party <br />as provided herein. The term may be extended one year until December 31, 2026, by the <br />City Manager on his/her determination that the agreement should remain in effect to allow <br />review of the assessment structure to be completed. <br /> <br />2. COMPENSATION. City shall collect assessments from each business within the District <br />on an annual basis. City shall contribute to the Association an amount of moneys equal to <br />the annual Assessments collected by the Association or as deemed appropriate based on <br />future revised assessment structures, per fiscal year. <br /> <br />(a) Assessments. Assessments will be charged to each business within the District <br />based upon a schedule of assessments reviewed and adopted by the Board of Directors and <br />the City Council. <br /> <br />i. The Association and City staff completed a review of the existing assessment <br />structure in August to December 2024 through a Property and Business <br />Improvement District feasibility study. A recommendation to the City Council <br />for a revised assessment structure was postponed, allowing stakeholders <br />additional time for collaboration to ensure the fiscal sustainability of the <br />Association and support enhancement of the District. <br /> <br />(b) The City and the Association have entered into a separate use agreement for the <br />City-owned property at 333 Division Street so the Association can maintain an office in a <br />central downtown location. <br /> <br />(c) The Association shall also seek sponsorships, memberships, and other <br />contributions to the Association to assist with the expenses of the organization. <br /> <br />Docusign Envelope ID: F8FB1108-2F99-4460-9D5D-2DB9B012961BDocusign Envelope ID: C41547DB-5DA5-405A-B67D-AAB02BFAF329
